Definitions

For the purposes of these Terms:

  • "Padiepay", "we", "us", or "our" means Padiepay Global Payments Inc., a corporation registered in Canada (FINTRAC Registration No. C100000061), also registered with the Bank of Canada as an MSB/Payment Service Provider. "User", "you", or "your" means any individual or entity using the Padiepay website (www.padiepay.com) or mobile applications (Android, iOS). "Services" means the payment, remittance, wallet, currency exchange, and related financial services provided via Padiepay.

Acceptance of Terms

By accessing or using Padiepay Services, you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional terms posted on our platform. If you do not agree, you must immediately cease use.

Eligibility and Registration

  • You must be at least 18 years old and capable of entering into a binding contract.
  • You must be resident of Canada and physically located in Canada or an economy or jurisdiction where use of PadiePay is permitted.
  • You must intend to use the PadiePay platform for your own personal use and not on behalf of or as an agent for any third party or entity.
  • You must not be a person listed on any governmental or international sanctions list, including but not limited to those maintained by Canada, the United Kingdom, the United States, or the European Union.
  • You must not be a Politically Exposed Person (PEP) as defined under Canadian anti-money laundering and anti-terrorist financing laws, or must disclose such status if applicable.
  • We reserve the right to refuse service to anyone for any reason at our sole discretion, which are all our discretion and subject to change without notice.
  • While we attempt to provide accurate and complete registration information and promptly update any changes, our services are provided through our financial/technology partners, it is your responsibility to read and understand the terms and conditions of those partner institutions, as they may contain important information about account lockouts, freezes, interest, deposit retention, sanctions, and other user rights and obligations.

Services Provided

  • Money Transfer; send and receive transfers both domestically and internationally.
  • Digital Wallet; hold, store, and manage multiple currencies.
  • Currency Exchange; Convert funds between supported currencies at prevailing rates.
  • Payment Processing; Merchant payment gateway integration where applicable.

Fees and Charges

  • All fees, exchange rates, and charges are disclosed at the time of transaction.
  • We reserve the right to modify fees with 30 days notice via email or platform announcement unless required sooner by law.

User Obligations

  • Maintain true, complete, and accurate information.
  • Safeguard login credentials, keep devices secure, and monitor account transaction history (UTR), and notify us of any missing transactions.
  • Provide all required identity verification documents (KYC).

Compliance; KYC/AML

  • PadiePay adheres to FINTRAC regulations in Canada and partner compliance requirements in other jurisdictions.
  • You authorize us to verify your identity and perform due diligence checks.

Intellectual Property

All brands, trademarks, logos, and content on PadiePay are our property or licensed to us. You may not use any of these without our written consent.

Prohibited Conduct

You agree not to:

  • Use our services for unlawful purposes or to facilitate criminal activity.
  • Provide false, deliberately incorrect content or deceptive info.
  • Interfere with or disrupt our platform or service.

Termination and Suspension

We may suspend or terminate your account for violations of these Terms, legal requirements, or suspected fraudulent or suspicious activity.

Disclaimers and Limitation of Liability

  • No Warranty: Services are provided "as is" without warranties of any kind.
  • Liability Cap: To the maximum extent permitted by law, our liability is limited to direct damages up to an amount that paid by you that is directly attributable to the claim.

Indemnification

You agree to indemnify and hold PadiePay and its affiliates harmless from any claims, damages, or liabilities arising from your violation of these Terms.

Governing Law; Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms or arising out of or relating to the Services, these Terms, or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved through final and binding arbitration administered by the ADR Institute of Canada in accordance with its rules.

Jurisdiction-Specific Dispute Resolution:

  • For residents of the United Kingdom and the European Union (EU): If mandatory rules in your country or region prohibit arbitration of certain disputes, you may bring a claim in your local courts or access alternative dispute resolution mechanisms as allowed under your local legislation.
  • For residents of Quebec: Alternative may be initiated under the Arbitration and Conciliation Act or other applicable laws, but if local consumer protection laws provide mandatory arbitration exclusion, you may have access to courts or consumer redress mechanisms (which figures prominently in Quebec consumer protection law).
  • For residents of the United States: You agree to arbitration on an individual basis only (thus precluding your right to a jury trial), and that other rights you would have in court may not be available in arbitration. You may opt out of arbitration within 30 days of your initial applicable consumer protection laws not specifically waived by opting out.
  • If a court determines that mandatory arbitration is not enforceable in your jurisdiction, then the dispute shall be resolved in the Courts of competent jurisdiction in your region, subject to applicable law.

Changes to Terms

We may update these Terms from time to time. Material changes will be notified at least 30 days prior to implementation.
